CONTEST DESCRIPTION:

The Waypoint^® “Showcase Your Space” Contest (the "Contest") begins on 10/01/24 at 12:00:00 AM Eastern Time ("ET") and ends on 11/29/24 (the "Contest Period").

The Contest Period consists of: a) an entry phase that begins at 12:00:00 AM (ET) on 10/01/24 and ends at 11:59:59 PM (ET) on 11/29/24 (the "Entry Period");
and
b) a "Final Judging Period" that will take place from 12/1/24 through 12/20/24.

The Contest provides eligible entrants with the opportunity to submit up to two (2) before and up to two (2) after photos of a recent project incorporating a minimum of 50% Waypoint cabinetry and IOPs (an "Eligible Project") and to submit the Eligible Project for consideration. Eligible Projects will be judged by representatives of Sponsor (the "Judging Panel") to select one (1) winner from each of five (5) categories, as more fully described below.

Participation in the Contest does not constitute participation in any other promotion, contest or sweepstakes. By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Waypoint Living Spaces, 561 Shady Elm Road, Winchester, VA 22602 ("Sponsor"), which shall be final and binding in all respects.

ELIGIBILITY:

Open only to legal U.S. residents who are eighteen (18) years of age or older and are employed as an authorized Waypoint dealer's designer who are in good standing with the Sponsor during the Contest Period and at the time of awarding of any prize are eligible to enter.  PROGRAM IS NOT OPEN TO THE GENERAL PUBLIC. Should you be selected as a winner, you must remain a Waypoint dealer until after the prize has been awarded. Employees, officers, and directors of Waypoint Living Spaces, its parent company, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (collectively, the "Contest Entities") and the immediate family members, and/or those living in the same household of each, are ineligible to enter the Contest or win a prize. Contest is void where prohibited by law.

HOW TO ENTER THE CONTEST:

To enter the Contest, during the Entry Period, go to www.waypointlivingspaces.com/ (the "Website"), log-in to the Dealer website and follow the on-screen instructions to complete the registration form in its entirety. As part of the registration process, you must upload at least one (1) before and at least one (1) after photo (each, a "Photo" and collectively, the "Photos") of the Eligible Project and answer three (3) questions about the Eligible Project (the "Questions"). No "before" photo is needed for New Construction entries. For New Construction entries upload an after photo where the before photo is requested. The answers to the Questions must be entirely original to the entrant and may not exceed two hundred (200) words for each question. All requested information on the registration form must be completed and all instructions included in these Official Rules must be complied with in order to be considered in the Public Voting Period. Incomplete or noncompliant entries will be disqualified. Except as contemplated in these Official Rules, personal information collected in connection with this Contest will be used in accordance with Sponsor's privacy policy available at www.waypointlivingspaces.com/legal.

Each Photo that is entered into the Contest must meet the following "Photo Requirements" (any Photo that, in Sponsor's sole and absolute discretion, violates the following criteria will be disqualified):

(a) Photo must be a .jpeg or .gif file no larger than 4 MB;
(b) Photo must clearly show a before or after image of the Eligible Project only; and
(c) Photo must NOT contain material which is (or promoting activities which are) sexually explicit, obscene, pornographic, violent, self-mutilating (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing; or material that contains any derogatory references to any Contest Entities;
(d) Photo must be entirely original to the participant and must NOT include any copyrighted media production, or references to films, music, books, television programming, etc., or contain any identifying descriptions of any media property;
(e) Photo must NOT include the names and likenesses of individuals without their written consent; and
(f) Photo must comply with the Sponsor's Terms and Conditions.

Entrants must have the permission of the homeowner of the Eligible Project in order to post the Photos and participate in the Contest. At the request of Sponsor, entrants must be able to present a signed release from the homeowner of the Eligible Project granting permission for the Eligible Project to be entered into the Contest. All approved entries will be posted on the Website and www.Facebook.com/waypointlivingspaces (the "Facebook Page"), Sponsor reserves the right, in its sole discretion, to disqualify any entry that is ineligible, incomplete, non-compliant or otherwise objectionable. Each entrant hereby agrees to indemnify and hold the Contest Entities, their successors and assigns harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations, covenants or obligations of entrant hereunder. IMPORTANT NOTE: Without in any way limiting the effect of the rest of these Official Rules, any entrant who incorporates any intellectual property owned by a third party into his or her entry without permission does so at his or her own risk.

Entrants may submit more than one (1) entry, but each entry must be of a different eligible project. IMPORTANT NOTE: In the event that there are an insufficient number of eligible entries, Sponsor reserves the right to extend the Entry Period.

WINNER SELECTION AND NOTIFICATION:

During the Final Judging Period, the Judging Panel will judge all confirmed submissions based on the following equally weighted judging criteria: creativity/originality, most dramatic before & after change, use of decorative accents & details. One winner will be chosen from each category. (1) Best Kitchen Remodel, (1) Best Bath Remodel, (1) Best Other Remodel, (1) Best Kitchen New Construction, (1) Best Bath New Construction. The judging of entries will be conducted under the supervision of Sponsor whose decisions are final and binding in all respects relating to selections. The potential prize winners will be notified by telephone, e-mail, and/or mail using the contact information provided at the time of entry on or about 12/31/24. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected based on the judging results. The potential winners will need to sign and return applicable "Prize Claim Documents" within a reasonable amount of time, as determined by the Sponsor in its sole discretion, prior to receipt of any prize. If any potential winner is found to be ineligible or if he or she has not complied with these Official Rules such potential winner will be disqualified and an alternate winner may be selected in accordance with these Official Rules.

PUBLICITY RELEASE:

By participating in the Contest, in addition to any other grants which may be granted in any other agreement entered into between Sponsor and any entrant in or winner of the Contest, each entrant irrevocably grants the Contest Entities and their respective successors, assigns and licensees, the right to use such entrant's name, his/her business name, likeness, biographical information, and Photos/Questions in any and all media for any purpose, including without limitation, advertising and promotional purposes as well as in, on or in connection with the Website, the Facebook Page, the Contest or other promotions, and hereby releases the Contest Entities, and their respective successors, assigns and licensees from any liability with respect thereto.

GRANT OF RIGHTS:

Each entrant into the Contest hereby irrevocably grants to Sponsor, its designees, affiliates, successors and assigns, the non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display the Photos and Questions in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Contest and other promotions. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Photos and Questions for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein.

PRIZES:

One (1) First Prize of $2,500 is available for each of the five (5) categories below.

The above prizes will be awarded directly to the authorized Waypoint dealer's designer who submitted the winning entry. 

Prize winners shall be solely responsible for any federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize.

GENERAL:

Entrants agree that the Contest Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants' acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for a particular purpose. Sponsor assumes no responsibility for any damage to an entrant's or any other person's computer system which is occasioned by accessing the Website or Facebook Page or otherwise participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, the Contest Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen submissions, or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest or the Website or Facebook Page, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event an insufficient number of eligible entries are received or Sponsor is prevented from awarding prize(s) or continuing with the Contest as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend, or terminate the Contest. If the Contest is terminated for any reason before the designated end date, Sponsor will (if possible) select the potential Finalists and/or Prize winners from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with the law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW/JURISDICTION:

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF VIRGINIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS.

WINNERS LIST:

Any legally required winner's list will be available on www.waypointlivingspaces.com approximately six (6) weeks after the end of the Contest Period.

THE CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK. FACEBOOK IS COMPLETELY RELEASED OF ALL LIABILITY BY EACH ENTRANT IN THIS CONTEST.
